Merger can take place between two or more small companies or merger between Holding & Subsidiary Company .The Procedure of Amalgamation as prescribed in Section 232 involves getting approvals from Tribunal which is very costly and time consuming affair. it was felt that certain companies ie. small companies should not be required to undergo the lengthy process for seeking approval from Tribunal, Consequently a simplified procedure has been introduced under Section 233 of Companies Act 2013 . Now Small companies and Wholly owned Subsidiary companies need not apply to NCLT for approval for the scheme of Amalgamation.
